1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Verifia (“Verifia,” “we,” “us,” or “our”), a company incorporated in the State of Delaware, USA. These Terms govern your access to and use of the Verifia platform, website, and related services (collectively, the “Service”).

By creating an account, subscribing, or otherwise using the Service, you confirm that you are at least 18 years of age, have the legal capacity to enter into contracts, and agree to these Terms and our Privacy Policy.

2. Service Description

Verifia is a SaaS platform that generates professional intelligence reports by aggregating and analyzing publicly available information from the open web, including social media profiles, news articles, public forums, and public records.

Reports generated by Verifia are intended for informational and research purposes only. Typical lawful use cases include:

• Business due diligence and vendor vetting
• Background research on potential partners or contractors
• Competitive intelligence and market research
• Journalistic research and investigative reporting
• Personal reputation monitoring

3. Acceptable Use

You agree to use Verifia only for lawful purposes and in accordance with these Terms. Specifically, you represent and warrant that:

• You will use the Service only for legal, legitimate purposes.
• You will not use reports to harass, stalk, intimidate, or harm any individual or group.
• You will not use reports to discriminate against individuals based on race, religion, gender, sexual orientation, national origin, disability, or any other protected characteristic.
• You will not use the Service in any manner that violates applicable federal, state, local, or international laws or regulations.
• You have a legitimate purpose for each search query you submit.
• You will treat information contained in reports with appropriate confidentiality.

4. Prohibited Uses

The following uses of Verifia are strictly prohibited. Violation of these prohibitions may result in immediate account termination and may subject you to civil or criminal liability:

5. Accuracy Disclaimer

Reports are generated based on publicly available data at the time the query is processed. The internet is dynamic; information may be outdated, removed, or may never have accurately represented the subject. Specifically:

• Public data sources may contain errors, outdated information, or inaccuracies.
• Different individuals may share the same name, leading to potential conflation.
• Verifia does not independently verify or fact-check information returned in reports.
• The absence of information in a report does not mean such information does not exist.
• AI-assisted analysis may produce summaries that do not perfectly reflect source material.

Reports should be used as a starting point for research, not as a definitive or sole source of truth. Verifia is not liable for any decisions made based on report content.

6. Subscriptions & Billing

Access to certain features of Verifia requires a paid subscription. By subscribing, you agree to the following:

• Billing Cycle: Subscriptions are billed monthly or annually as selected at the time of purchase. Your subscription will automatically renew at the end of each billing period unless cancelled.
• Automatic Renewal: By subscribing, you authorize Verifia to charge your payment method on each renewal date. You will receive advance notice of upcoming renewals.
• Plan Changes: You may upgrade or downgrade your subscription at any time. Upgrades take effect immediately; downgrades take effect at the end of the current billing period.
• Price Changes: We reserve the right to adjust pricing. You will be notified at least 30 days before any price change affecting your subscription.
• Taxes: Prices are exclusive of applicable taxes. You are responsible for any sales tax, VAT, or similar taxes applicable in your jurisdiction.

7. Refund Policy

We want you to be satisfied with Verifia. Our refund policy is as follows:

• How to Request: Email support@verifia.app within 7 days of your purchase. Include your account email and order ID.
• Processing Time: Approved refunds are processed within 5–10 business days to your original payment method.
• Cancellation: You may cancel your subscription at any time. Access continues until the end of your current billing period. No partial refunds are provided for unused time after the 7-day guarantee window.
• Abuse: We reserve the right to deny refund requests that show evidence of abuse or manipulation of this policy.

8. Intellectual Property

The Verifia platform, including its software, algorithms, user interface, design, logos, and trademarks, is owned by Verifia and protected by copyright, trademark, and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Service for your own internal, non-commercial purposes. You may not:

• Copy, modify, or create derivative works of the platform
• Use Verifia's brand assets without written permission
• Remove copyright or proprietary notices from any content
• Transfer your account or license to any third party

9. Account Termination

Either you or Verifia may terminate your account at any time.

We reserve the right to suspend or terminate your account without prior notice if we determine, in our sole discretion, that you have:

• Violated any provision of these Terms
• Engaged in fraudulent, abusive, or illegal activity
• Used the Service in a manner that could harm Verifia, other users, or third parties
• Failed to pay subscription fees when due

Upon termination, your access to the Service will immediately cease. Any reports or data stored in your account may be deleted. Provisions of these Terms that by their nature should survive termination (including Sections 5, 10, 11, and 12) will remain in effect.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERIFIA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or other intangible losses
• Damages arising from your use or inability to use the Service
• Damages arising from errors, inaccuracies, or omissions in report content
• Damages arising from unauthorized access to or alteration of your data

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO VERIFIA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS OF LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify, defend, and hold harmless Verifia and its officers, directors, employees, affiliates, and service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, your violation of any rights of another party, or any content you submit through the Service.

12. Governing Law & Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of the Service shall be resolved through the following process:

• Informal Resolution: Before initiating any formal proceedings, you agree to contact us at legal@verifia.app to attempt to resolve the dispute informally. We will have 30 days to respond.
• Binding Arbitration: If informal resolution fails, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Delaware.
• Class Action Waiver: You agree that any arbitration will be conducted on an individual basis and not as a class, consolidated, or representative action.
• Exceptions: Either party may seek injunctive or equitable relief in court for intellectual property infringement or other claims where irreparable harm is at stake.

13. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Notify you by email at the address associated with your account
• Post a prominent notice on the Verifia website

Your continued use of Verifia following the effective date of revised Terms constitutes your acceptance. If you do not agree to the revised Terms, you must stop using the Service and may cancel your subscription.
